John Swire & Sons (H.K.) Limited is the holding company of the publicly-listed conglomerate, Swire Pacific Limited. Our Group Legal Department is expanding, and is now inviting candidates to apply for the following position:

 

Senior Legal Counsel

 

The role provides legal support and advice on corporate and commercial matters to various business and functional units at the Group level. 

 

Responsibilities:

  • Provide legal support to the Group on corporate matters including M&A, investments, treasury, and reporting
  • Prepare, review and negotiate legal documentation for the Group on general commercial, and regulatory and other compliance matters
  • Provide transaction executional support on corporate matters, including M&A, investments and treasury, and where appropriate, act as legal execution lead
  • Provide legal support on regulatory and other compliance matters
  • Provide legal support on IP and brand monitoring
  • Carry out duties consistent with strategic plans and directives as determined by management

 

To be successful in this role, you must have:

  • A minimum of 12 years of post-qualified experience as a qualified lawyer in an internationally recognized jurisdiction. Sound knowledge of Chinese law is advantageous
  • Strong corporate and transactional experience gained in in-house legal department or international law firms
  • Solid drafting skills, and proven track record in running complex cross-border transactions and Listing Rules compliance 
  • Experience in cross-border M&A, particularly in Southeast Asia and in the Chinese Mainland, is required. Experience in the healthcare sector is also preferred 
  • A commercial mindset, with a strong capability of interacting with senior stakeholders
  • Excellent communication skills in both written and spoken English and Chinese (Cantonese and Putonghua)
