John Swire & Sons (H.K.) Limited is the holding company of the publicly-listed conglomerate, Swire Pacific Ltd. Our Company Secretary's Department is now inviting candidates to apply for the following position:

Manager, Company Secretarial

The job holder will support the Deputy Company Secretary by managing company secretarial services across the Swire Group's healthcare and new investment sectors, as well as other private companies as needed. The incumbent will provide full spectrum of services for listed companies, divisional subsidiaries, and joint ventures in various jurisdictions, along with ancillary services for associated companies. 

Responsibilities:

• Ensure compliance with all applicable laws and regulations, including the Listing Rules, the Securities and Futures Ordinance and the Companies Ordinance, etc.
• Organise board and committee meetings, and follow up on subsequent work and minutes writing
• Attend to statutory filings, disclosure, and reporting with regulatory bodies. Provide recommendations on the implementation of new workflow as necessary
• Maintain statutory records, and perform regular reviews of the companies’ information database and filing system 
• Implement processes to promote, sustain and uphold good corporate governance
• Handle corporate transactions, as well as the formation, winding up and restructuring of companies to meet business needs
• Prepare resolutions and papers, and liaise with external regulators and other stakeholders as needed

To be successful in this role, you must have:

• A Bachelor’s degree, and be an Associate Member of CGI/HKCGI
• At least 10 years of company secretarial experience in a sizable company
• Solid knowledge of the Listing Rules, the Securities and Futures Ordinance, the Companies Ordinance and other applicable regulations
• Independent with a strong sense of responsibility and self-motivated
• Good analytical and problem-solving skills, strong attention to detail, with the ability to multitask
• Excellent communication skills, and the ability to build professional relationships with stakeholders at all levels
• Excellent command of both written and spoken English and Chinese
